1. About Auria Art House

Auria Art House is an online art marketplace operated by Link2Trade Ventures LLP, a limited liability partnership registered under the Laws of India, with its principal place of business in Mysore, Karnataka, India (referred to as "Auria Art House," "we," "our," or "us").

Our platform accessible at www.auriaart.com (the "Site") provides services for viewing, selling, purchasing, and auctioning original works of art, and facilitating art events including exhibitions, competitions, and workshops (collectively, the "Services"). These Terms govern your access to and use of all Services. By using the Services you also agree to our Privacy Policy and any additional policies referenced herein.

Certain sections of the platform may have additional or specific terms. Where there is a conflict between these Terms and any section-specific terms, the section-specific terms shall prevail for that particular section.

2. Eligibility

The Services are intended solely for individuals who are 18 years of age or older. By accessing or using the Services you represent and warrant that you are at least 18 years old and have the legal capacity to enter into a binding contract under applicable Indian law. Access to or use of the Services by anyone under 18 is expressly prohibited.

If you are registering on behalf of a business entity, you represent that you are duly authorised to bind that entity to these Terms, and "you" shall mean that entity.

3. Account Registration

To list artwork, make purchases, participate in auctions, or register for events, you must create an account ("Account"). Upon successful registration you become a "Member." You agree to:

• Provide accurate, complete, and current information during registration and keep it updated at all times.
• Maintain the confidentiality of your login credentials and not share them with any third party.
• Accept full responsibility for all activities that occur under your Account, whether or not authorised by you.
• Notify us immediately at support@auriaart.com of any unauthorised access to or use of your Account.

We reserve the right to suspend or terminate any Account if information provided is found to be inaccurate, false, or incomplete, or if you breach these Terms. We may also require identity verification documents (government-issued ID, PAN card, GST registration, or similar) before activating seller or bidder privileges.

4. Artist / Seller Terms

4.1 Eligibility to List

Only the original creator of an artwork may list it for sale on Auria Art House. You may not list works created by another artist. By submitting a listing you represent and warrant that you are the sole creator and owner of the artwork, or that you hold all rights necessary to sell it through our platform.

4.2 Listing Requirements

All listings must be accurate, complete, and comply with our Content Guidelines. This includes providing an accurate title, medium, dimensions, year of creation, condition, clear high-quality photographs, and an honest description. Prices must be stated in Indian Rupees (INR). We reserve the right to edit, reject, or remove any listing that does not comply with our guidelines. Placement of listings in search results may be influenced by factors including title, keywords, and price.

We reserve the right to promote or discount artworks on the platform. Artists retain the right to remove their listings at any time through their Account dashboard.

4.3 Responsibility for Artwork

You represent and warrant that:

• You are the creator and sole exclusive owner of all artworks listed, or hold all necessary rights, licences, and consents.
• The sale and display of your artwork will not infringe any third-party intellectual property rights, moral rights, rights of publicity or privacy, or any applicable law.
• The artwork is in the condition described and free from undisclosed defects.

4.4 Artist Revenue Share

Upon a successful sale, Auria Art House will credit your Account with the Artist Revenue Share as per our then-current Pricing and Commission Policy. Revenue share is credited after confirmation of delivery to the buyer and expiry of the applicable return period. Payouts are processed to your verified bank account per the schedule shown in your Seller Dashboard.

Upon closure or termination of your Account, any outstanding balance will be remitted to you within a reasonable time after all pending transactions are settled and any amounts owed to us are deducted.

4.5 Off-Platform Transaction Restriction

If a buyer contacts you through Auria Art House regarding a listed artwork, a similar work, or a custom commission, you may not complete that transaction outside the platform. Violation of this restriction will result in immediate suspension or permanent termination of your Account, without prejudice to any other legal remedies available to us.

5. Buyer / Purchaser Terms

5.1 Purchasing Artwork

When you purchase an artwork through Auria Art House, you are entering into a transaction with the selling artist. Auria Art House acts as a facilitator, collecting payment and coordinating shipping on behalf of both parties. Prices are as listed in INR. Unless expressly stated, listed prices exclude shipping, handling, insurance, and applicable taxes, which will be shown at checkout before you confirm your order.

5.2 Order Confirmation & Cancellation by Us

Your order is confirmed only upon receipt of a confirmation email from us. We reserve the right to cancel orders in the event of a pricing error, unavailability of the artwork, suspected fraud, or any other reason at our reasonable discretion. In such cases, a full refund will be processed to your original payment method and a cancellation email will be sent.

5.3 Colour Accuracy

We make commercially reasonable efforts to display artwork colours accurately. However, colour representation may vary depending on your device's display calibration. Auria Art House shall not be liable for colour discrepancies between the displayed image and the physical artwork.

5.4 Off-Platform Transaction Restriction

If you contact an artist through the platform regarding a listed artwork or a related custom piece, you may not purchase that work outside Auria Art House. Violation may result in termination of your Account.

6. Bidder Terms

Registered bidders may participate in art auctions facilitated through Auria Art House. By registering as a bidder and participating in any auction you agree to the following:

• All bids placed are legally binding offers to purchase the artwork at the bid price plus applicable taxes, buyer's premium, and shipping charges.
• The highest bidder at the close of an auction is obligated to complete the purchase. Failure to pay within the stipulated time may result in forfeiture of any deposit paid and suspension of your bidder Account.
• We reserve the right to set reserve prices, withdraw lots, or cancel auctions at any time at our discretion.
• Auria Art House is not responsible for technical failures that prevent you from placing a bid, provided reasonable measures to maintain platform availability have been taken.
• Auction results are final. Disputes regarding auction outcomes must be raised with our Grievance Officer within 48 hours of the auction close.
• KYC (Know Your Customer) verification may be required before bidding privileges are granted or for bids above a specified threshold.

7. Resale Terms

7.1 Resale Offers

Auria Art House may display a "Make an Offer" option on sold artworks, allowing buyers to submit a resale bid. If an artwork is deleted by the artist from the platform, it is no longer eligible for resale offers through us.

7.2 Resellers (Current Owners)

If someone makes a resale offer on an artwork you purchased through Auria Art House, we will contact you by email with the offer details and instructions. You are free to accept or decline. If you accept:

• You will earn a portion of the offer amount, net of the original artist's resale payment and our commission.
• You are responsible for packaging the artwork safely and coordinating pickup or drop-off with our nominated courier.
• The artwork must be delivered in the same condition and with any Certificate of Authenticity that accompanied the original purchase.

7.3 Resale Buyers

• The offer form collects your offer amount and contact information only; payment is required only after your offer is accepted.
• All resale sales are final unless the artwork arrives damaged, in which case our standard return and refund process applies.
• Additional costs such as shipping, applicable taxes (GST), and insurance will be clearly communicated before payment is collected.
• Promotional discounts cannot be applied to resale offers.
• If your offer is declined, our team may contact you to suggest similar works or facilitate a commission by the same artist.

7.4 Artist's Resale Payment

Original artists whose works are resold through the platform are entitled to a resale payment as per our then-current Pricing Policy. The artist will be notified and payment made available for payout seven (7) days after confirmed delivery to the resale buyer, ensuring the artwork has arrived satisfactorily.

8. Terms for Both Sellers and Buyers

8.1 Transaction Restrictions

Members who connect through Auria Art House — whether as sellers, buyers, or bidders — may not conduct transactions for those artworks or related works outside the platform. Violation may result in Account termination and legal action.

8.2 Member Content

Where the platform permits you to post text, images, reviews, or other content ("Member Content"), you grant Auria Art House a worldwide, non-exclusive, royalty-free licence to display, reproduce, distribute, and promote such content on or through the Services for platform operation and marketing purposes. You retain all other rights in your Member Content. You are solely responsible for all Member Content you post and represent that it does not infringe any third-party rights or violate any law.

8.3 Platform Content

Content published by Auria Art House on the platform, including editorial articles, curatorial text, and promotional material ("Platform Content"), is owned by or licenced to us. You may view and print Platform Content for personal, non-commercial use only. No other licence is granted.

9. Payments, Commissions & GST

All payments are processed through Razorpay, our third-party payment gateway, subject to Razorpay's own terms and conditions. We accept major debit/credit cards, UPI, net banking, and other methods displayed at checkout. All amounts are in INR.

Auria Art House charges a platform commission on each sale as set out in our Pricing and Commission Policy. GST is applicable as per prevailing rates under the Goods and Services Tax laws of India and will be displayed separately on your invoice. Each party is responsible for their own GST compliance obligations. Artists who are GST-registered must provide their GSTIN during account setup.

You represent and warrant that you have the legal right to use any payment method used through your Account. We reserve the right to verify payment information before processing any order.

10. Shipping & Delivery

Auria Art House facilitates shipping through Shiprocket and partnered courier services. Estimated delivery timelines are indicative only and are not guaranteed. Artists must dispatch sold artworks within 7 (seven) business days of receiving the order confirmation and shipping label. Failure to dispatch within this period may result in automatic order cancellation and a full refund to the buyer.

Artists must provide accurate dimensions, weight, and dispatch address. Artworks must be appropriately packed to prevent transit damage; inadequate packaging is the artist's responsibility. For oversized or high-value artworks, special shipping arrangements and additional charges may apply and will be communicated prior to order confirmation.

Risk of loss passes from artist to Auria Art House upon courier collection, and from Auria Art House to the buyer upon delivery confirmation.

11. Returns & Cancellations

Buyers may request a return within 7 (seven) days of delivery if the artwork received is significantly different from its description, is damaged in transit, or is materially defective. Return requests must be submitted through your Account with photographic evidence.

The following are not eligible for return:

• Artworks returned solely due to a change of mind.
• Custom or commissioned artworks made to the buyer's specification.
• Digital artworks or prints once downloaded or accessed.
• Artworks that have been framed, altered, or damaged by the buyer after delivery.
• Resale purchases (unless damaged in transit — see Section 7.3).

Approved refunds will be credited to the buyer's original payment method within 7–10 business days of the returned artwork being received and inspected. Buyer cancellations before dispatch are accepted and fully refunded. Post-dispatch cancellations are not accepted but buyers may initiate a return once the artwork is delivered.

12. Intellectual Property

All content on the Auria Art House platform, including our logo, brand name, website design, interface, text, graphics, and software, is the exclusive property of Link2Trade Ventures LLP and is protected under the Copyright Act, 1957, the Trade Marks Act, 1999, and other applicable intellectual property laws of India and internationally.

Artists retain full copyright and all moral rights in their artworks at all times. By listing artwork, you grant Auria Art House a non-exclusive, royalty-free, worldwide licence to use, display, reproduce, and promote images of your artwork solely for the purposes of operating and marketing the platform. This licence terminates when you remove your listing, except to the extent necessary to fulfil in-progress orders or existing promotional commitments.

Buyers acquire physical ownership of a purchased artwork only. No intellectual property, copyright, or reproduction rights transfer to the buyer unless expressly agreed in writing with the artist. We respect copyright law and will act against repeated infringers in accordance with our Copyright Policy.

13. User Content & Prohibited Conduct

You agree not to post, upload, transmit, or otherwise make available any content or engage in any conduct that:

• Infringes any patent, copyright, trademark, trade secret, moral right, or other intellectual property or proprietary right of any party.
• Is fraudulent, false, misleading, or deceptive, including listing another artist's work as your own.
• Is defamatory, obscene, pornographic, vulgar, or offensive; promotes discrimination, bigotry, racism, hatred, harassment, or harm against any individual or group.
• Is violent, threatening, or harmful to minors in any way.
• Promotes illegal or harmful activities, products, or substances.
• Uses automated tools, bots, crawlers, or scraping software to access or extract data from the platform without our written consent.
• Attempts to probe, scan, test, or breach any security or authentication measure of the platform.
• Sends unsolicited advertising, spam, chain letters, or other unauthorised solicitations.
• Frames, mirrors, or uses the platform or our brand assets without our written consent.
• Attempts to decipher, decompile, or reverse engineer any platform software.
• Impersonates any person or entity or misrepresents your affiliation with any person or entity.
• Violates any applicable Indian or international law or regulation.
• Encourages or enables any other person to do any of the foregoing.

We reserve the right to investigate violations and cooperate with law enforcement authorities. We may remove any content and suspend or terminate any Account that violates these provisions, without prior notice and without liability to you.

14. Events, Exhibitions & Workshops

Auria Art House periodically organises or facilitates art events including exhibitions, competitions, and workshops ("Events"). Registration for Events is subject to additional event-specific terms presented at the time of registration, which shall prevail over these Terms to the extent of any conflict.

Event registration fees are generally non-refundable unless the Event is cancelled or rescheduled by us, in which case a full refund will be issued. Early-bird pricing, GST, and applicable service charges will be clearly displayed during registration. QR-code based tickets will be issued electronically upon successful registration.

Submission of artworks to competitions or exhibitions constitutes your consent for Auria Art House to display, photograph, and promote the artwork in connection with the Event without additional compensation, unless the event-specific terms state otherwise. We reserve the right to cancel, postpone, or modify any Event and shall not be liable for loss or inconvenience caused by Event changes beyond our reasonable control.

15. Promotions & Contests

Auria Art House may from time to time run sweepstakes, contests, discount campaigns, or similar promotions ("Promotions"). Each Promotion will have its own rules ("Official Rules") which will be clearly communicated. To the extent that the Official Rules conflict with these Terms, the Official Rules shall prevail for that Promotion. We reserve the right to modify, suspend, or cancel any Promotion at our sole discretion.

16. Third-Party Links

The platform may contain links to third-party websites or resources. Auria Art House is not responsible or liable for the availability, accuracy, content, products, or services of any third-party website. The inclusion of any link does not imply endorsement. You access third-party websites at your own risk.

17. Privacy & Data Protection

We are committed to protecting your personal information in accordance with the Information Technology Act, 2000, the IT (Reasonable Security Practices and Sensitive Personal Data) Rules, 2011, and the Digital Personal Data Protection Act, 2023. Please refer to our Privacy Policy for full details on what data we collect, how we use it, and your rights.

18. Disclaimers

Auria Art House does not warrant that:

• The platform will be error-free, uninterrupted, secure, or free from harmful components.
• Any artwork listed is authentic, accurately described, or of any particular quality or value.
• Results obtained from using the Services will be accurate or reliable.
• Any errors in the platform will be corrected.

You are solely responsible for your communications and interactions with other Members on the platform. We do not screen or verify the background of Members, nor do we make any representations as to the conduct of any Member. You agree to take reasonable precautions in all communications, particularly before meeting any other Member in person.

No advice or information obtained from Auria Art House or through the platform creates any warranty not expressly stated in these Terms. No purchase or action should be taken based solely on platform information without independent professional advice where appropriate.

19. Limitation of Liability

To the maximum extent permitted by Indian law, in no event shall Auria Art House, its directors, officers, employees, agents, or affiliates be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, including but not limited to loss of profits, data, goodwill, business opportunity, or other intangible losses arising out of or relating to:

• Your use of or inability to use the Services.
• Any conduct or content of any other Member or third party on the platform.
• Any artwork purchased or content obtained through the Services.
• Unauthorised access to, use of, or alteration of your content or Account.

Our total aggregate liability to you for any claim arising from or related to the Services shall not exceed: (i) for Artists — the total Artist Revenue Share paid to you in the three months preceding the claim; (ii) for Buyers — the total amount paid by you for the specific artwork(s) subject to the claim; (iii) in all other cases — INR 10,000. These limitations are fundamental elements of the basis of the agreement between us.

Nothing in these Terms excludes or limits liability for fraud, wilful misconduct, gross negligence, death or personal injury caused by our negligence, or any other liability that cannot be excluded or limited by applicable Indian law.

20. Indemnification

You agree to indemnify, defend, and hold harmless Auria Art House, Link2Trade Ventures LLP, and their respective directors, officers, employees, agents, and representatives from and against any and all claims, liabilities, damages, losses, penalties, and expenses (including reasonable legal fees and accounting costs) arising out of or relating to:

• Your use of or access to the Services.
• Any content you post, list, upload, or transmit on the platform.
• Your breach of these Terms or any applicable law or regulation.
• Your infringement of any third-party intellectual property, privacy, or other rights.
• Your participation in any auction, event, or off-platform transaction that violates these Terms.

21. Termination & Account Cancellation

You may deactivate your Account at any time by contacting us at support@auriaart.com. We will process your request and settle outstanding transactions before closing the Account.

We reserve the right to suspend or permanently terminate your access to the Services at any time and without prior notice if you breach these Terms, engage in fraudulent or harmful activity, or if required to do so by law or court order. In the event of termination for your breach, you remain liable for any amounts outstanding.

Upon termination, all outstanding Artist Revenue Shares will be remitted as per our standard payment schedule, net of any amounts owed to us. Provisions regarding intellectual property, indemnification, disclaimers, limitation of liability, dispute resolution, governing law, and any other provisions that by their nature should survive termination, will continue to apply after termination.

22. Dispute Resolution

22.1 Informal Resolution

Before initiating any formal proceedings, you agree to first contact us at legal@auriaart.com describing the nature of your complaint. We are committed to resolving disputes informally and in good faith. If your complaint is not resolved satisfactorily within 30 days of our receipt of your written notice, you may proceed to the Grievance Redressal process below or to formal legal proceedings.

22.2 Governing Law & Jurisdiction

These Terms shall be governed by and construed in accordance with the laws of India. Any disputes arising under or in connection with these Terms, that cannot be resolved informally, shall be subject to the exclusive jurisdiction of the competent courts located in Mysore, Karnataka, India.

22.3 Limitation of Actions

Any claim or cause of action arising from or relating to use of the Services or these Terms must be brought within one (1) year after such claim or cause of action arose, failing which it shall be permanently barred, to the extent permissible under applicable Indian law.

23. Grievance Redressal

In accordance with the Information Technology Act, 2000, the IT (Intermediary Guidelines and Digital Media Ethics Code) Rules, 2021, and the Consumer Protection Act, 2019, we have designated a Grievance Officer to address user complaints.

Complaints must be submitted in writing. We will acknowledge receipt within 48 hours and aim to resolve all complaints within 30 days. If you are not satisfied with our resolution, you may approach the appropriate Consumer Disputes Redressal Commission or other regulatory authority under applicable Indian law.

24. General Provisions

Entire Agreement. These Terms, together with the Privacy Policy and any other policies incorporated by reference, constitute the entire and exclusive agreement between Auria Art House and you regarding the Services, and supersede all prior or contemporaneous understandings or agreements.

Severability. If any provision of these Terms is found by a court of competent jurisdiction to be invalid or unenforceable, that provision shall be enforced to the maximum extent permissible and all remaining provisions shall remain in full force and effect.

Waiver. The failure of Auria Art House to enforce any right or provision of these Terms shall not constitute a waiver of future enforcement of that right or provision.

Assignment. You may not assign or transfer your rights or obligations under these Terms without our prior written consent. We may assign these Terms at our sole discretion without restriction.

Notices. Notices from us to you will be given by email to the address registered in your Account, or by prominent notice posted on the platform. Notices from you to us must be sent to legal@auriaart.com or to our registered address.

Force Majeure. Auria Art House shall not be liable for any delay or failure in performance resulting from causes beyond our reasonable control, including acts of God, natural disasters, pandemics, government actions, or internet infrastructure failures.

25. Amendments

We reserve the right to update or modify these Terms at any time. We will notify registered users of material changes by email or by posting a prominent notice on the platform at least 7 days before the changes take effect. The "Last Updated" date at the top of this page will reflect the most recent revision. Your continued use of the Services after changes take effect constitutes your acceptance of the revised Terms. If you do not agree, you must stop using the Services and may request Account deletion.
