Clause 01

Definitions

In these Terms, the following expressions shall carry the meanings set out below:

• "Auria" or "Company" refers to Link2Trade Ventures LLP, operating the Auria Art House platform (auriaarthouse.com / auriaart.in), registered and based in Mysore, Karnataka, India.
• "Event" means any webinar, online workshop, artist talk, live demonstration, panel discussion, virtual exhibition, or any other programme organised or co-organised by Auria, whether conducted online or at a physical venue.
• "Participant" or "Attendee" means any individual who registers for, attends, or attempts to access an Event.
• "Registration" means the act of signing up for an Event through the Platform or any authorised registration channel provided by Auria.
• "Platform" refers to the Auria Art House website and its associated digital tools, portals, and communication channels.
• "Session Content" means any presentation, artwork, audio, video, demonstration, written material, or other content delivered or displayed during an Event.
• "Fee" means any registration or participation amount charged for access to an Event, where applicable.

Clause 02

Registration & Eligibility

Registration for an Event is subject to the following conditions:

• The Participant must provide accurate, complete, and current personal information at the time of registration. Auria reserves the right to deny access to any Participant who provides false or misleading information.
• Certain Events may be restricted to registered Auria artists, collectors, or invited guests. Eligibility criteria, if any, will be stated on the Event registration page.
• Registration does not guarantee admission. In the event of oversubscription, Auria may waitlist or redirect registrations at its sole discretion.
• Participants must be at least 18 years of age. Minors may attend only with written consent and active supervision of a parent or legal guardian who also agrees to these Terms on their behalf.
• One registration is valid for one individual only and is non-transferable unless explicitly stated otherwise by Auria.

Clause 03

Fees, Payment & Refunds

Where an Event is ticketed or fee-based:

• All Fees are listed in Indian Rupees (INR) and are inclusive of applicable taxes unless stated otherwise.
• Payment must be completed at the time of registration through the authorised payment gateway on the Platform. Auria uses Razorpay as its payment processor. By making a payment, you also agree to Razorpay's terms of service.
• Registration is confirmed only upon receipt of successful payment. Pending or failed payments do not constitute a confirmed registration.

Refunds, where applicable, will be processed within 7–10 business days to the original payment method.

Clause 04

Access & Code of Conduct

Auria Events are designed to be welcoming, professional, and inspiring spaces. By attending, Participants agree to the following conduct standards:

1. Treat all speakers, panellists, fellow attendees, and Auria staff with courtesy and respect at all times.
2. Not engage in any form of harassment, intimidation, hate speech, or discriminatory behaviour based on gender, caste, religion, nationality, sexual orientation, disability, or any other characteristic.
3. Refrain from using the Event platform or chat functions for unsolicited commercial promotion, spam, or off-topic solicitation.
4. Not share the Event access link, login credentials, or joining details with any unregistered third party.
5. Comply with all technical guidelines communicated by Auria prior to or during the Event, including camera, microphone, and chat usage policies.
6. Not disrupt the flow of the Session through repeated interruptions, disruptive audio/video, or inappropriate behaviour.

Clause 05

Recording & Intellectual Property

Session Content presented during Auria Events is the intellectual property of the respective speakers, artists, or Auria, as applicable.

• Auria may record Events for internal archiving, promotional, or on-demand replay purposes. Where recordings involve participant visibility or audio, Auria will endeavour to provide prior notice.
• Any recording or reproduction made by a Participant in violation of this clause may constitute an infringement of copyright and moral rights, and Auria reserves the right to take appropriate legal action.
• Artworks, portfolios, and creative materials shared by artists during Events remain the exclusive intellectual property of those artists and may not be reproduced, distributed, or commercially exploited without direct written permission from the respective artist.

Clause 06

Participant Contributions & Interactions

Where Participants are invited to contribute questions, comments, or creative work during an Event (via chat, Q&A, or interactive features):

• Participants warrant that any content they share is their own original work or that they have the right to share it, and that it does not infringe upon any third party's rights.
• Participants grant Auria a non-exclusive, royalty-free licence to display, moderate, and archive such contributions for the purpose of conducting the Event.
• Auria reserves the right to remove or moderate any participant contribution that is found to be inappropriate, defamatory, spam, or in violation of these Terms, without prior notice.
• Participants must not share any content that is confidential, legally sensitive, or subject to non-disclosure obligations during public Events.

Clause 07

Privacy & Data Collection

Personal information collected during registration (including name, email address, phone number, and city) will be used solely for the following purposes:

• Confirming and managing your Event registration
• Sending Event-related communications, joining links, and reminders
• Sharing post-Event recordings, certificates, or follow-up resources (where applicable)
• Improving future Event programmes based on participant feedback

Auria may send periodic communications about upcoming Events, exhibitions, or platform news. Participants may opt out of such communications at any time by contacting Auria at the email address below or using the unsubscribe link in emails.

Auria will not sell or share your personal information with unaffiliated commercial third parties. All data is handled in accordance with Auria's Privacy Policy, available at auriaarthouse.com.

Clause 08

Certificates of Participation

Where Auria issues digital certificates of participation for an Event:

• Certificates are issued only to Participants who attended the Event for the minimum duration specified (if any) by Auria.
• Certificates are for informational and personal portfolio use only and do not constitute a professional qualification, accreditation, or academic credential recognised by any regulatory body.
• Auria reserves the right to revoke a certificate if it is established that the Participant violated these Terms during the Event.
• Certificate requests, if not automatically issued, must be raised within 30 days of the Event date.

Clause 09

Event Cancellation & Changes by Auria

Auria reserves the right to cancel, postpone, reschedule, or modify any Event — including its format, speakers, schedule, or platform — at any time, with or without prior notice, due to circumstances including but not limited to:

• Speaker unavailability or force majeure events
• Technical failures or platform outages
• Insufficient registrations or attendance
• Public health emergencies, natural disasters, or government directives

In the event of cancellation by Auria, registered Participants will be notified via email and offered a refund of the registration Fee (if any) or a credit toward a future Event. Auria shall not be liable for any travel costs, accommodation, or other expenses incurred by Participants in anticipation of a physical event.

Clause 10

Disclaimer of Warranties

All Events and Session Content are provided on an "as is" basis for educational, cultural, and community engagement purposes. Auria makes no warranties, express or implied, regarding:

• The accuracy, completeness, or suitability of any information shared during Events
• The uninterrupted or error-free delivery of online Events
• The fitness of any artistic technique, tool, or method discussed during Sessions for any particular purpose

Participants are encouraged to independently verify any professional, legal, financial, or health-related information shared during Events before acting upon it.

Clause 11

Limitation of Liability

To the maximum extent permitted by applicable law:

• Auria shall not be liable for any indirect, incidental, special, consequential, or punitive loss or damage arising from a Participant's attendance or inability to attend an Event.
• Auria's total liability to any Participant shall not exceed the registration Fee paid by that Participant for the specific Event in question.
• Auria is not responsible for any technical difficulties experienced by Participants on their own devices, internet connections, or local platforms during online Events.
• Auria is not liable for any loss, theft, or damage to personal property at physical Event venues.

Clause 12

Indemnification

The Participant agrees to indemnify and hold harmless Auria, its partners, directors, employees, and agents from any claims, liabilities, losses, costs, or legal expenses arising from:

• Any breach by the Participant of these Terms
• Any unauthorised recording, sharing, or reproduction of Session Content
• Any harmful, defamatory, or unlawful conduct by the Participant during the Event
• Any infringement of the intellectual property or privacy rights of any speaker, artist, or fellow participant

Clause 13

Governing Law & Dispute Resolution

These Terms shall be governed by and interpreted in accordance with the laws of India. Any dispute arising out of or in connection with these Terms shall first be sought to be resolved through good-faith discussion between the parties.

If unresolved within thirty (30) days of written notice of the dispute, the matter shall be referred to arbitration under the Arbitration and Conciliation Act, 1996, conducted in English, at Mysore, Karnataka, India, before a sole arbitrator mutually appointed by the parties.

Subject to the above, the courts of Mysore, Karnataka shall have exclusive jurisdiction over all disputes.

Clause 14

Amendments

Auria reserves the right to update or revise these Terms at any time. The revised Terms will be published on the Platform with an updated effective date. Continued registration for or participation in Events following any revision constitutes acceptance of the updated Terms. Participants are encouraged to review these Terms before each Event registration.

Clause 15

Entire Agreement & Severability

These Terms, together with any Event-specific instructions, registration confirmation, or supplementary notices communicated by Auria, constitute the entire agreement between Auria and the Participant with respect to Event participation.

If any provision of these Terms is found to be invalid or unenforceable under applicable law, that provision shall be deemed severed and the remaining Terms shall continue in full force and effect.
